These Terms of Use (“Terms”) govern access to and use of Humanitara’s websites, assessments, courses, learning materials, subscriptions, communities, communications, and related services (collectively, the “Service”). The Service is provided by Humanitara, Inc. (“Humanitara,” “we,” “us,” or “our”).
By creating an account, purchasing or enrolling in a program, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information, keep your login credentials confidential, and promptly notify us of unauthorized use. You are responsible for activity under your account and may not share or transfer access unless we approve it in writing.
If an organization sponsors your access, additional terms between the organization and Humanitara may apply. These Terms still govern your individual use of the Service.
2. The Service
Humanitara provides educational content, diagnostic assessments, personalized learning paths, exercises, and related resources intended to support personal and professional development. Recommendations may change based on assessment answers, progress, and reassessment.
We may update, replace, suspend, or discontinue content or features. During a beta or early-access period, features may be incomplete, change without notice, or contain errors.
3. Educational disclaimer
The Service is for educational and informational purposes only. It is not medical, mental-health, legal, financial, employment, or other professional advice, and it is not a substitute for advice from a qualified professional. We do not guarantee a particular personal, professional, financial, health, or workplace outcome.
4. License and intellectual property
Subject to these Terms and any applicable purchase terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own learning during the applicable access period.
Humanitara and its licensors retain all rights in the Service and its content, including videos, audio, text, frameworks, assessments, graphics, downloads, trademarks, and software. You may not copy, record, reproduce, publish, distribute, sell, sublicense, publicly display, create derivative works from, scrape, reverse engineer, or commercially exploit the Service except with our prior written permission or as allowed by law.
5. Your submissions
You retain ownership of content you submit, such as assessment responses, reflections, support messages, or feedback. You grant us a limited, worldwide license to host, process, reproduce, and use that content as necessary to operate, personalize, secure, and improve the Service and to meet our legal obligations, in accordance with the Privacy Policy.
Do not submit content you do not have the right to use, or highly sensitive personal information that is not necessary for the learning experience.
6. Acceptable use
You may not:
- use the Service unlawfully, fraudulently, or to infringe another person’s rights;
- share credentials or provide unauthorized access to paid content;
- upload malicious code or interfere with the Service’s operation or security;
- scrape, harvest, or automatically extract content or personal information;
- attempt to bypass access, payment, or security controls;
- impersonate another person or misrepresent your identity or affiliation; or
- harass others or submit unlawful, harmful, or abusive content.
We may investigate suspected misuse and suspend or terminate access when reasonably necessary to protect the Service, users, or others.
7. Prices, taxes, and payment
Prices, currency, billing frequency, taxes, and any trial or promotional terms will be shown before purchase. You authorize our payment provider to charge the payment method you provide according to the terms displayed at checkout. You are responsible for keeping payment information current and for applicable taxes unless checkout states otherwise.
We may change prices prospectively. A price change affecting a recurring subscription will be disclosed as required by law before it takes effect.
8. Monthly free trials and recurring subscriptions
Where offered, the 14-day card-on-file free trial applies to monthly plans only. A valid payment method is required. Unless you cancel before the trial ends, the subscription will begin automatically and the payment method will be charged the monthly price and currency displayed at checkout. The subscription will continue to renew monthly until cancelled.
Trial eligibility may be limited to new customers or one trial per person, household, payment method, or account. We may revoke a trial obtained through fraud or abuse.
9. Annual plans
Annual plans, where offered, are charged immediately for one year and do not include a free trial. The checkout will state the price, currency, access period, and renewal behavior. If checkout states that an annual plan renews automatically, it will renew annually until cancelled according to the disclosure shown before purchase. If checkout states that the plan does not renew, access will expire at the end of the stated term.
10. Cancellation and access
You may cancel a recurring subscription through the account controls made available by the Service or by contacting [email protected] if self-service cancellation is unavailable. Cancellation prevents the next recurring charge. You will retain access through the end of the current free-trial period or paid billing period, unless access is terminated for misuse or otherwise required by law.
Deleting an account does not automatically cancel a subscription unless the Service expressly states otherwise.
11. Refunds
Refund requests are reviewed case by case and are not guaranteed, except where required by law. To request a refund, email [email protected] from the address associated with the purchase and include relevant order details. Approved refunds are returned to the original payment method; processing times are controlled by the financial institutions involved.
Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.
12. Third-party services and links
The Service relies on third-party platforms and providers, including hosting, learning-platform, payment, email, analytics, and support services. Their terms and privacy policies may apply to their services. We are not responsible for third-party websites or services that we do not control.
13. Suspension and termination
You may stop using the Service at any time, subject to the cancellation terms above. We may suspend or terminate access if you materially violate these Terms, fail to pay amounts due, create a security or legal risk, or misuse the Service. Where reasonable, we will provide notice and an opportunity to remedy the issue.
Sections that by their nature should survive termination—including intellectual property, payment obligations, disclaimers, limitations, and dispute provisions—will survive.
14. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that the Service will be uninterrupted, error-free, secure, or suitable for every purpose, or that content or recommendations will produce a particular outcome. Rights that cannot be excluded under applicable law remain unaffected.
15. Limitation of liability
To the maximum extent permitted by law, Humanitara, Inc. and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from the Service.
To the maximum extent permitted by law, our aggregate liability arising from the Service will not exceed the greater of (a) the amount you paid to Humanitara for the Service during the 12 months before the event giving rise to the claim or (b) US$100. This section does not limit liability that cannot legally be limited.
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Humanitara, Inc. and its affiliates, directors, officers, employees, and agents from third-party claims arising from your unlawful use of the Service, your submitted content, or your material breach of these Terms.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable consumer law gives you the right to bring a claim elsewhere. We have not added mandatory arbitration or a class-action waiver.
18. Changes to these Terms
We may update these Terms. We will post the updated version with a revised “Last updated” date and provide additional notice where required. Material changes will apply prospectively unless law permits otherwise. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
19. General
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or sale. These Terms, the Privacy Policy, and the terms displayed at checkout form the agreement governing your use of the Service, except for any separate written agreement that expressly controls.
